Terms of service

1. Platform Owner

The 4EM digital platform is owned and operated by NEXYA S.r.l., hereinafter "NEXYA".

NEXYA exclusively provides a technological and promotional intermediation service between:

  • Partners (physical structures participating in the network)
  • Vendors (product suppliers)
  • End Users (customers)
  • Shipping Agents

2. Definitions

  • 4EM Platform: digital system accessible online and via QR code, which allows the promotion and purchase of products.
  • Partners: commercial or professional structures that display or make 4EM accessible to their customers.
  • Vendors: entities that supply products through the Platform.
  • End User: customer who uses the 4EM Platform to purchase products.
  • Shipping Agents: those who handle logistics, picking up orders from Vendors and delivering them to the End User.

3. Scope of the Service

4EM allows End Users to view or purchase products offered by affiliated Vendors.

The sale is made directly and exclusively between the End User and the Vendor.

NEXYA:

  • does not sell products;
  • is not a party to the relationship between Vendor and End User.

4. Role of NEXYA

NEXYA acts as a mere technical intermediary, providing:

  • the digital platform;
  • payment and collection systems;
  • information flows between the parties.

NEXYA

  • transmits order data to the Vendor;
  • transmits order data to the Shipping Agents, in order to collect the products purchased from the Vendor and deliver them to the End User;
  • sends confirmations to the End User on behalf of the Vendor.

5. Content and Vendor Responsibilities

All information on the Platform (descriptions, prices, images, conditions, availability) is dictated by the Vendors, who are responsible for it.

Each Vendor is responsible for:

  • the accuracy and updating of data;
  • delivery of the product to the logistics provider;
  • compliance with applicable regulations.

NEXYA is not liable for inaccurate, incomplete, or misleading.

6. Access to the Platform

Access to the Platform can be made:

  • via QR code displayed at Partners;
  • via direct link;
  • via digital interfaces.

7. Payments

Payments made by End Users are made through the payment systems integrated into the 4EM Platform, specifically:

  • Credit Card (circuiti Visa, Mastercard, Maestro)
  • digital wallets such as Apple Pay or Google Pay
  • PayPal account, where the User may, where permitted, pay in 3 interest-free installments, or in 6, 12, or 24 installments with variable interest rates, determined by PayPal based on the purchase amount.

NEXYA collects the amounts as collection agent on behalf of the Vendor and subsequently distributes the amounts among:

  • Vendor;
  • Partner (if applicable);
  • NEXYA's brokerage commissions.

8. Duration of Service

Access to the Platform is indefinite.
NEXYA reserves the right to suspend or interrupt the service, even without notice, for technical, organizational, or commercial reasons.

9. Confidentiality

Commercial, economic, and operational information relating to the Platform is confidential and may not be disclosed without authorization.

10. Changes to the Terms

NEXYA reserves the right to modify these Terms and Conditions at any time. Terms and Conditions.
The changes will be effective from the date of publication on the Platform.

11. Applicable Law and Jurisdiction

These Terms and Conditions are governed by Italian law.
Any disputes shall be settled exclusively by the Court of Ragusa.
